Terms of Service

1. Acceptance of Terms

By accessing or using the JarvisDaily platform (“Service”) operated by Tranquil Veda Pvt Ltd (GSTIN: 27AAHCT6956C1Z3), you agree to be bound by these Terms of Service (“Terms”). If you do not agree with any part of these Terms, you must not use the Service.

2. Service Description

JarvisDaily is a multi-tenant Software-as-a-Service (SaaS) platform that enables Indian businesses to automate customer communications via the WhatsApp Business API (Meta Cloud API). The Service includes:

  • AI-powered WhatsApp messaging with automated responses
  • Unified inbox for managing customer conversations
  • Human takeover from AI agent when needed
  • Contact management (CRM Lite)
  • Broadcast campaigns and template management
  • AI training and knowledge base management
  • Analytics and reporting dashboards
  • Lead pipeline with AI scoring

3. Account Registration

  • You must provide accurate and complete information during registration.
  • One account per business entity. Multiple team members can be invited under a single tenant.
  • You must be at least 18 years of age to create an account.
  • You are responsible for safeguarding your account credentials and for all activities under your account.
  • You must notify us immediately at support@jarvisdaily.com if you suspect unauthorised access.

4. WhatsApp Compliance

By using the Service to send WhatsApp messages, you agree to comply with:

  • Meta Platform Terms: All applicable Meta terms and policies.
  • WhatsApp Business Policy: Including prohibited content categories.
  • WhatsApp Commerce Policy: Rules governing commercial messaging.

You must not use the Service to send messages containing:

  • Weapons, ammunition, or explosives
  • Drugs or controlled substances
  • Adult content or services
  • Gambling or betting promotions
  • Misleading or deceptive content
  • Content that violates intellectual property rights
  • Spam or unsolicited bulk messages

Violation of WhatsApp policies may result in immediate suspension of your account and WhatsApp number without refund.

5. Messaging Rules

  • Opt-in required: You must obtain explicit consent from recipients before sending them messages through the Service.
  • Opt-out mechanism: You must provide a clear way for recipients to opt out of receiving messages (e.g., “Reply STOP to unsubscribe”).
  • Template messages: Messages sent outside the 24-hour customer-service window must use Meta-approved message templates.
  • Rate limits: Messages are subject to Meta’s per-number rate limits, which vary by quality rating.

6. Token System

  • The Service uses a token-based billing system. Each AI-processed message consumes 1 token.
  • Tokens are purchased as part of your subscription plan or as add-on packs.
  • Unused tokens roll over to the next billing cycle for the duration of your subscription.
  • Tokens consumed cannot be refunded or reversed.
  • If your token balance reaches zero, AI responses will be paused until tokens are replenished.

7. Billing and Payments

  • Subscriptions: Plans are billed monthly. Subscriptions auto-renew unless cancelled before the renewal date.
  • Setup fee: A one-time setup fee of ₹20,000 (plus 18% GST) applies for onboarding, AI training, and initial configuration.
  • GST: All prices are exclusive of 18% Goods and Services Tax (GST), which will be added to your invoice.
  • Payment processor: Payments are processed securely via Razorpay. We do not store your payment card details.
  • Failed payments: If a renewal payment fails, we will attempt to charge your payment method up to 3 times over 7 days. If unsuccessful, your account may be suspended.

8. Data Ownership

  • You retain full ownership of all data you upload or generate through the Service, including contacts, conversations, AI training data, and business information.
  • We do not claim any ownership rights over your content.
  • You grant us a limited licence to process your data solely for the purpose of providing the Service.
  • Upon account termination, you may export your data within 30 days (see Section 11).

9. AI Disclaimer

  • The AI agent generates responses based on your configured knowledge base and business persona. Responses may not always be accurate or complete.
  • You are responsible for reviewing and monitoring AI-generated responses.
  • We recommend enabling human takeover for high-stakes conversations (e.g., complaints, refunds, sensitive queries).
  • JarvisDaily is not liable for any decisions made by your customers based on AI-generated responses.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided “as is” and “as available” without warranties of any kind, express or implied.
  • We do not warrant that the Service will be uninterrupted, error-free, or secure.
  • Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid to us in the 3 months preceding the claim.
  • We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

11. Termination

  • By you: You may cancel your subscription at any time from the Billing settings page. Cancellation takes effect at the end of your current billing cycle.
  • By us: We may suspend or terminate your account if you violate these Terms, WhatsApp policies, or fail to pay outstanding invoices.
  • Data export: After termination, you have 30 days to export your data (contacts, conversations, AI training data) in CSV or JSON format.
  • Data deletion: After the 30-day export window, all your data will be permanently deleted except billing records required by law.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Maharashtra, India.
